This webinar will examine the bases upon which trustees, executors and directors can be rendered liable for the wrongs of their co-officers.
The session will consider:
- The operation of the Civil Liability (Contribution) Act 1978 and the exoneration discretion held by the court under the Trustee Act 1925 and Companies Act 2006;
- The recent decisions in IT Protect Ltd (In Liquidation) and Byers v Ningning in the corporate context;
- The difference of approach between passive or negligent breaches of duty and positive combination in a breach of duty; and
- Recent guidance on pleading claims against office holders.
This webinar will be of interest to trust and estate practitioners, those advising directors on their potential risks and liabilities and to individuals practicing in the sphere of corporate insolvency advising liquidators and administrators on potential officer-holder claims.
Co-liability will often present as a consideration where assets available for execution are unequal between officers. From a defendant perspective, exoneration and contribution may be effective ways to limit overall liability.
